The workspace owner or administrator may control user roles and permissions.
If you invite another person to your workspace, you are responsible for ensuring that person is authorized to access the information made available to them.
Aervio may rely on workspace permissions when determining access to data and functionality.
5. Subscriptions
Certain Aervio services are offered on a recurring subscription basis.
Subscription features, usage limits, prices, billing periods, and other commercial terms are presented when you purchase or change a plan.
By purchasing a recurring subscription, you authorize applicable recurring charges until the subscription is cancelled or otherwise terminated.

Unless otherwise stated:
- prices are shown before applicable taxes;

- documents;
- customer information;
- product information;
- website content;
- marketing materials;
- files; and
- other content submitted through the Service.
You grant Aervio a limited, non-exclusive right to host, copy, process, display, transmit, modify, and otherwise use Customer Content only as reasonably necessary to provide, maintain, secure, support, and improve the Service.
You represent that you have the necessary rights and permissions to provide Customer Content to Aervio.
10. Third-party Integrations
Aervio may allow you to connect third-party platforms and services.
These may include:
- Google services;
- advertising platforms;
- analytics platforms;
- social networks;
- WordPress;
- payment providers;
- ecommerce platforms; and
- other external services.
Third-party services are governed by their own terms, policies, availability, and technical requirements.
Aervio does not control third-party services and cannot guarantee their continued availability or functionality.
11. Google Services
Aervio may integrate with Google services, including Google Analytics, Google Search Console, Google Merchant Center, Google Ads, and Google identity services.
When you connect a Google service, you authorize Aervio to access information permitted by the scopes and permissions you approve.
Aervio uses Google API data to provide functionality requested by you, such as analytics, SEO reporting, commerce reporting, advertising reporting, and related business insights.
Your use of Google services remains subject to Google's applicable terms and policies.
You may revoke Aervio's access through your Google Account or disconnect supported integrations within Aervio.
12. Google Ads
Where Google Ads integration is enabled, Aervio may retrieve advertising account information and performance reporting made available through the Google Ads API.
This may include campaign information and aggregated metrics such as:
- impressions;
- clicks;
- advertising spend;
- conversions;
- conversion value; and
- other reporting information.
Unless expressly identified otherwise within the Service, Aervio's Google Ads integration is provided as reporting and analytics functionality and does not automatically create, modify, pause, or delete advertising campaigns.
Advertising results are not guaranteed.
13. Analytics and Reporting
Aervio may display information obtained from third-party platforms or calculated from synchronized information.
Reports may be delayed, incomplete, revised, unavailable, or affected by:
- third-party reporting delays;
- API limitations;
- attribution differences;
- account configuration;
- tracking configuration;
- currency;
- time zones;
- data sampling;
- third-party outages; or
- other technical factors.
Aervio does not warrant that analytics or reporting will exactly match another platform at all times.
14. Attribution
Aervio may provide marketing attribution functionality.
Attribution models are analytical tools and may not establish definitive causation.
Different platforms may attribute the same conversion or revenue differently.
Users should evaluate attribution information together with their own business data and professional judgment.
15. Search Engine Optimization
Aervio may provide SEO tools, recommendations, audits, technical improvements, content assistance, and related services.
Aervio does not guarantee:
- search rankings;
- indexing;
- traffic;
- leads;
- sales;
- placement in AI-generated responses;
- inclusion in search features; or
- any specific search engine outcome.
Search engines and AI platforms control their own algorithms and results.
16. Advertising Results
Aervio may provide advertising reporting, integration, analysis, or related services.
Unless expressly agreed otherwise, Aervio does not guarantee:
- impressions;
- clicks;
- conversions;
- leads;
- customers;
- revenue;
- return on advertising spend;
- cost per acquisition; or
- other advertising results.
Advertising performance depends on factors outside Aervio's control.
17. Automations
Where automation functionality is available, you are responsible for reviewing the configuration and intended consequences of automations you enable.
Automations may depend on external APIs, triggers, conditions, integrations, and third-party availability.
You should not rely on an automation as the sole mechanism for safety-critical, legally required, or emergency actions.
18. Acceptable Use
You may not use Aervio to:
- violate applicable law;
- infringe intellectual property rights;
- distribute malware;
- compromise systems or accounts;
- gain unauthorized access to data;
- send unlawful spam;
- conduct fraud;
- impersonate another person or organization;
- interfere with the Service;
- bypass security controls;
- abuse APIs;
- scrape or extract information in violation of applicable rights or terms;
- distribute unlawful content; or
- use the Service in a manner that creates unreasonable security or operational risk.
We may restrict or suspend access where reasonably necessary to address abuse, security risks, legal requirements, or material violations of these Terms.
19. API and Integration Limitations
Third-party APIs may impose:
- quotas;
- rate limits;
- access levels;
- approval requirements;
- authorization requirements;
- data-retention requirements;
- account restrictions; and
- other technical or contractual limitations.
Aervio is not responsible for a third party's decision to restrict, suspend, change, or terminate API access.
We may modify an integration when necessary to remain compatible with third-party requirements.
20. Security
Aervio implements reasonable safeguards designed to protect the Service and information processed through it.
You agree not to attempt to defeat, bypass, disable, probe, or interfere with security controls except where expressly authorized by us in writing.
You are responsible for securing devices, credentials, accounts, and third-party services under your control.
21. Intellectual Property
Except for Customer Content and third-party materials, Aervio and its licensors retain all rights in the Service, including software, interfaces, designs, branding, documentation, databases, and other proprietary materials.
These Terms do not transfer ownership of Aervio intellectual property to you.
22. Feedback
If you voluntarily provide suggestions, ideas, or feedback regarding Aervio, you grant us permission to use that feedback without restriction or compensation, provided that doing so does not grant us ownership of your pre-existing intellectual property or confidential Customer Content.
23. Service Availability
We aim to provide a reliable Service but do not guarantee uninterrupted availability.
The Service may be unavailable because of:
- maintenance;
- upgrades;
- infrastructure failures;
- third-party outages;
- API outages;
- security events;
- network problems;
- force majeure; or
- other circumstances.
We may modify, replace, or discontinue features where reasonably necessary.
24. Beta and Preview Features
Aervio may provide beta, experimental, preview, or early-access functionality.
Such functionality may:
- change without notice;
- contain errors;
- be incomplete;
- have additional limitations; or
- be discontinued.
Beta or preview features should not be relied upon for critical business processes unless expressly stated otherwise.
25. Support
Support availability and response times may vary by subscription plan.
Unless expressly stated in a separate agreement, support response times are targets rather than guaranteed service-level commitments.
26. Cancellation
You may cancel a recurring subscription using available account functionality or by contacting Aervio where applicable.
Cancellation generally prevents future renewals but does not necessarily result in a refund for amounts already charged, except where required by applicable law or expressly provided in the applicable purchase terms.
Your access to paid functionality may continue through the end of the paid billing period, depending on the applicable plan.
27. Downgrades
If you downgrade your subscription, certain features, limits, or functionality may become unavailable.
Aervio may restrict access to functionality exceeding the limits of the new plan.
Where technically reasonable, Aervio will seek to avoid automatically deleting Customer Content solely because of a plan downgrade.
Additional terms may be presented when a downgrade would materially affect stored content or functionality.
28. Refunds
Unless otherwise stated at the time of purchase, fees are non-refundable except where required by applicable law.
If a specific service includes a refund policy or guarantee, the terms presented for that service will govern.
29. Suspension and Termination
We may suspend or terminate access to the Service if reasonably necessary because of:
- material violation of these Terms;
- non-payment;
- fraudulent activity;
- security threats;
- unlawful activity;
- abuse of the Service;
- legal requirements; or
- material risk to Aervio, its users, or third parties.
Where reasonable and legally permitted, we may provide notice and an opportunity to address the issue.
30. Effect of Termination
Upon termination:
- your right to use the affected Service ends;
- connected integrations may stop synchronizing;
- certain data may become inaccessible;
- outstanding payment obligations remain due; and
- provisions intended by their nature to survive termination remain effective.
Data retention and deletion are governed by our Privacy Policy and applicable law.
31. Export and Data Access
Where supported, Aervio may provide functionality allowing users to access or export certain information.
The availability and format of exports may depend on the relevant feature, subscription, data type, and technical limitations.
32. Confidentiality
Each party may receive non-public information from the other in connection with the Service.
Where information is reasonably understood to be confidential, each party agrees to use reasonable measures to protect it and to use it only for purposes related to the Service, except where disclosure is authorized or legally required.
33. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
AERVIO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY PURPOSE.
AERVIO DOES NOT GUARANTEE BUSINESS, MARKETING, SEARCH, ADVERTISING, SALES, OR REVENUE RESULTS.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
34. Third-party Services Disclaimer
Aervio is not responsible for the availability, policies, decisions, security, accuracy, or performance of independent third-party services.
Changes by a third-party provider may affect an Aervio integration without advance notice to Aervio.
35. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AERVIO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, OR DATA, ARISING FROM OR RELATING TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AERVIO'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU TO AERVIO FOR THE AFFECTED SERVICE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations do not apply where prohibited by applicable law.
36. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold Aervio harmless from third-party claims arising from:
- Customer Content;
- your unlawful use of the Service;
- your violation of these Terms;
- your infringement of third-party rights; or
- your unauthorized use of third-party accounts or information.
This provision does not apply to the extent a claim results from Aervio's own conduct for which liability cannot lawfully be excluded.
37. Changes to the Service
We may modify the Service as it evolves.
This may include adding, changing, or removing features.
Where a change materially affects a paid subscription, we will provide notice where required by applicable law.
38. Changes to These Terms
We may update these Terms periodically.
When we do, we will update the "Last Updated" date.
Where required by applicable law, we will provide additional notice of material changes.
Continued use after an updated version becomes effective constitutes acceptance where permitted by applicable law.
39. Governing Law
These Terms are governed by the laws applicable in the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles, except where mandatory consumer protection or other applicable law requires otherwise.
40. Disputes
Before commencing formal proceedings, you and Aervio are encouraged to attempt to resolve disputes by contacting the other party.
Nothing in these Terms limits rights or remedies that cannot be waived under applicable law.
41. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
42. No Waiver
Failure to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.
43. Assignment
You may not assign these Terms without Aervio's prior written consent, except where applicable law provides otherwise.
Aervio may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all relevant assets, subject to applicable law.
44. Entire Agreement
These Terms, together with the Privacy Policy, applicable order terms, plan terms, and any additional agreements expressly incorporated by reference, constitute the agreement governing your use of the Service.
